Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Foloque (the “Service”), operated by Nivoq Technolabs Pvt. Ltd. (“Nivoq”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Foloque lets you create invoices and send automated payment reminders to your clients by email and, optionally, via your own WhatsApp Business Account. We may add, change, or remove features over time.

2. Accounts

• You must provide accurate information and keep your credentials secure.
• You are responsible for all activity under your account.
• You must be at least 18 and able to enter into a binding contract.

3. Acceptable use

You agree not to use Foloque to:

• Send spam, unsolicited messages, or content that violates applicable law.
• Contact recipients without a lawful basis or required consent, including for WhatsApp messaging.
• Infringe others’ rights, transmit malware, or attempt to disrupt or reverse-engineer the Service.

You are solely responsible for the content of the invoices and reminders you send and for ensuring you have the right to contact your clients.

4. WhatsApp messaging

The WhatsApp feature sends messages through your own WhatsApp Business Account using the WhatsApp Business Platform provided by Meta. By connecting WhatsApp, you agree to:

• Comply with the WhatsApp Business Policy and Commerce Policy, and all applicable messaging laws.
• Be responsible for Meta’s per-message fees, which Meta bills directly to your WhatsApp Business Account. Foloque does not charge a per-message fee and does not resell WhatsApp messaging.
• Obtain any consent required to message your recipients. Foloque is not responsible for messages you choose to send.

Meta may suspend or rate-limit your WhatsApp account for policy violations; this is outside Foloque’s control.

5. Subscriptions & payments

Paid plans are billed in advance through our payment processor. Fees are stated at checkout. Unless required by law, fees are non-refundable. We may change pricing with prior notice; changes apply to subsequent billing periods.

6. Your content

You retain ownership of the data and content you submit. You grant us a limited license to host and process it solely to provide the Service. You are responsible for maintaining your own records.

7. Service availability

We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. We may suspend the Service for maintenance, security, or legal reasons.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. Foloque does not provide legal, tax, or accounting advice.

9. Limitation of liability

To the maximum extent permitted by law, Nivoq Technolabs Pvt. Ltd. will not be liable for any indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service unlawfully.

11. Governing law

These Terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts of Junagadh, India.
